2018 Annual General Meeting

Te Rūnanga-Ā-Iwi O Ngāpuhi Charitable Trust hereby gives notice that its Annual General Meeting is on Saturday 17 November 2018 at the Tikipunga Baptist Church, Corner of Kiripaka Road and Heretaunga Street, starting at 10am.

Vote of Trust Deed amendment resolution

Members are advised that the Trustees intend to amend the Trust Deed at the meeting and the following resolution has been put before the Trustees for consideration, pursuant to Section 13.1 of the Trust Deed:

That the proposed amendments to the Trust Deed as notified, are agreed to and are for the collective benefit of all Members of Ngāpuhi.  

“Te Rūnanga-Ā-Iwi O Ngāpuhi proposes that certain amendments be made to its Trust Deed at the upcoming Annual General Meeting to be held 17 November 2018.  These amendments will: (a) insert provisions relating to a Code of Conduct applicable to Trustees; (b) expand the provisions relating to suspension and removal of Trustees; (c) expand the existing provisions relating to disputes procedures; (d) remove provisions for Taurahere from the Trust Deed; and (e) correct minor typographical errors and make other minor drafting improvements.  A resolution that these amendments to the Trust Deed are for the collective benefit of all Members of Ngāpuhi and that those amendments are agreed to by the Adult Registered Members of Ngāpuhi will be voted on at the Annual General Meeting.”

The proposed amendments to the Trust Deed together with a table explaining the changes and voting forms are available below or for viewing at the Rūnanga office.  If you are unable to access the online documents or come to the Rūnanga office, please contact us to make alternative arrangements. Voting will take place at the meeting by personal vote (not proxy) and by signed postal ballot, in accordance with Schedule 1 to the Trust Deed.

Voting process

Personal Votes

Members intending to vote in person at the AGM are requested to register for voting purposes on the day of the AGM between 8.30am to 9.45am at the AGM venue.  

Persons who are not already registered as Members of Ngāpuhi but who wish to register as Members and vote in person at the AGM may do so in accordance with the Trust Deed and should also register their wish to do so at the AGM venue between 8.30am to 9.45am.  

 

Postal votes

Members who wish to vote by postal ballot should request a postal ballot form.

Persons who are not already registered as Members of Ngāpuhi but who wish to vote by postal ballot may do so in accordance with the Trust Deed and should request a registration application form at the same time as requesting a postal ballot form.

Signed postal votes must be received by Te Rūnanga-Ā-Iwi O Ngāpuhi Charitable Trust, 16 Mangakahia Road, PO Box 263, Kaikohe 0440 before 5pm on the 16thNovember 2018.
